CabiPro ("we", "us", "our") provides software designed to help cabinet manufacturing businesses manage jobs, materials, production, suppliers, quoting, invoicing, staff, and operations.
By accessing or using CabiPro, you agree to these Terms of Service ("Terms"). If you do not agree, you must not use the platform.
In these Terms, "you" means the business that holds the CabiPro subscription, and includes every user who accesses the platform under that subscription.
1. Who we are & who may use CabiPro
CabiPro is operated under ABN 47 864 983 873, based in South Australia, Australia. That ABN is the party you are contracting with.
To use CabiPro, you must:
- be at least 18 years old
- have the authority to enter agreements on behalf of your business
- provide accurate information when creating your account
- keep your login credentials secure
You are responsible for all activity performed under your account.
If we believe your account is being misused, accessed fraudulently, or violates these Terms, we may suspend or restrict access.
2. Your account & responsibilities
You agree to:
- keep account details accurate and up to date
- maintain the confidentiality of passwords
- ensure only authorised people in your business access your account
- manage the roles and permissions you grant to your own users
- use the platform in accordance with applicable laws
You must not:
- attempt to hack, bypass security, or interfere with systems
- misuse the service for unlawful or harmful activities
- upload malicious files or code
- resell, distribute, or clone the platform
- reverse-engineer CabiPro
- use automated means to extract data at a scale that degrades the service for others
You remain responsible for all content your business uploads into the system.
3. Business data ownership
Everything you upload into CabiPro, including customer details, supplier data, production records, materials, drawings, files, employee records, and project notes, remains your business data.
We do not claim ownership over your operational data.
We only process this data to:
- provide and maintain the service
- troubleshoot issues
- improve stability and security
- comply with legal obligations
We will never sell your operational data, and we will never use it to train artificial intelligence or machine learning models.
Section 9 explains how to obtain a copy of your data and how deletion works.
4. Your authority to upload data
CabiPro is built to hold information about people other than you - your clients, your suppliers' contacts, and your employees. Some of it is highly sensitive, including Tax File Numbers, bank account details, and superannuation details.
You warrant and agree that:
- you have the lawful right and authority to collect the personal information you upload, and to disclose it to us for processing
- you have given any notices and obtained any consents required under the Privacy Act 1988 (Cth) and any other applicable law
- you will tell your employees what information you hold about them in CabiPro and why, including that the platform keeps an audit log of user activity and records active session details
- you will comply with any workplace surveillance, record-keeping, payroll, and tax obligations that apply to you as an employer, including under the Fair Work Act and ATO requirements
- you will comply with the Privacy (Tax File Number) Rule 2015 in respect of any Tax File Number information you enter
- you will not upload personal information you do not need for the operation of your business
As between you and us, you are the party that decides what personal information goes into your account. We cannot verify your authority to hold it, and we rely on this warranty.
5. Our role in handling your data
For the business data in your account, you determine what is collected and why. We handle it on your behalf and on your instructions, as a service provider.
We agree that we will:
- process your business data only to provide the service, to support you, to maintain security, and to meet our legal obligations
- restrict access to authorised personnel, and only where necessary
- use the service providers described in our Privacy Policy, and keep that list current
- notify you without undue delay if we become aware of a data breach affecting your account, so that you can meet your own obligations to your staff and customers
- assist you, at reasonable cost, in responding to access or correction requests from individuals whose data you hold
Our Privacy Policy forms part of these Terms and sets out in detail what we collect, which providers receive it, and where it is processed.
6. Software licence
We grant you a limited, non-exclusive, non-transferable licence to use CabiPro for your internal business operations only, for the duration of your subscription.
You may not:
- rent, lease, or sublicense CabiPro
- incorporate it into another product
- modify or build competing services using it
- share access with external third parties without consent
- share a single user login between multiple people
All software, interfaces, and content created by CabiPro remain our intellectual property.
7. Plans, seats & billing
CabiPro operates on a subscription basis.
7.1 Plans, seats & add-ons
Plan pricing, billing frequency, and included limits are shown on our pricing page. Subscriptions are billed monthly or yearly, as selected.
Your plan includes a set number of user seats and an amount of file storage. Beyond those limits, additional charges apply for:
- additional admin users
- additional installer users
- additional file storage
- WhatsApp messaging, where enabled for your account
Add-on charges are applied per billing period at the rates shown on your plan.
7.2 Invoicing & payment
We bill by issuing an invoice for each billing period. We do not store your card details, and we do not automatically charge a saved payment method.
Invoices are issued in advance of the billing period and are available in your account.
Payment is due within 7 days of the invoice date.
If an invoice remains unpaid after it falls due, we may suspend access to your account until it is settled. We will give you notice before doing so. Your data is retained during suspension.
Fees are non-refundable except as required by law, including under the Australian Consumer Law.
7.3 Free trial
We may offer a free trial. At the end of the trial period, your account moves to the Starter plan and we begin issuing invoices for the plan and any add-ons you have selected, unless you cancel before the trial ends.
Because billing is invoice-based, no charge is taken from a payment method at conversion. You will receive an invoice, and you may cancel instead of paying it.
7.4 Changes to pricing or plan features
We may change plan features or pricing. We will give you at least 30 days' notice by email or in-app before a price increase takes effect for your subscription. If you do not accept the change, you may cancel before it applies.
7.5 Taxes
Prices may exclude local taxes, duties, or GST unless otherwise stated.
You are responsible for applicable taxes based on region and business registration.
8. Cancellation & termination
8.1 You may cancel anytime
You can cancel your subscription through your account or by contacting us. Cancellation takes effect at the end of your current billing period. It stops future invoicing, but does not refund periods already invoiced and paid, unless legally required.
8.2 We may suspend or terminate accounts if:
- Terms are violated
- unlawful or fraudulent activity occurs
- non-payment continues after notice
- system misuse puts others at risk
Where reasonable, we will notify you first.
8.3 If we discontinue the service
If we decide to stop providing CabiPro altogether, we will give you at least 90 days notice, a reasonable opportunity to export your data, and a pro-rata refund of any prepaid period not yet used.
9. Data export & deletion
Your data is yours, and you should be able to leave with it.
While your subscription is active, you can export your records from within CabiPro.
After cancellation or termination, we will retain your data for 90 days, during which you may request a copy. We will provide it in a commonly used machine-readable format within 14 days of your request.
After that window, we will delete or de-identify your data, except where we are required by law to retain it, or where it is held in routine backups that expire on their own cycle.
Note that deleting a record inside the app marks it as deleted and removes it from normal view before it is permanently purged, so that accidental deletions can be recovered. Our Privacy Policy explains this in more detail.
10. Service availability & updates
We aim to provide CabiPro reliably and continuously, but:
- occasional downtime may occur for maintenance
- we may update features, interfaces, or integrations
- some legacy features may be discontinued if necessary
Availability service level. We aim to maintain a monthly uptime service level of 99.999% for CabiPro. When calculating uptime, we exclude planned maintenance notified in advance, emergency maintenance, failures of third-party services or integrations, events outside our reasonable control, and issues caused by your systems, network, or use of CabiPro. We will take reasonable steps to minimise disruption and to schedule planned maintenance outside normal Australian business hours where practical.
Unless we agree otherwise in a separate written service level agreement, service credits are not available if this service level is not achieved.
Nothing in this section limits your rights under the Australian Consumer Law.
11. Support
Support may be provided by email, in-app, or other channels depending on your plan level.
We aim to respond promptly, but response times may vary.
To provide support, we may need to access your account. We do so only where necessary to resolve your issue, and such access is logged.
12. AI features
CabiPro includes an AI assistant that can answer questions about the records in your account.
To provide it, summaries of your records and your questions are sent to third-party AI providers. Our Privacy Policy sets out exactly which providers, what data is included, what is deliberately excluded, and where processing occurs. By using the AI features, you agree to that processing.
Tax File Numbers, bank account and BSB details, superannuation details, dates of birth, home addresses, and emergency contact details are never sent to AI providers.
Accuracy. AI-generated output is probabilistic. It can be incomplete, out of date, or confidently wrong. You agree that:
- AI output is a convenience, not a source of truth, and is not advice
- you will verify against the underlying records before acting on it
- you will not rely on it for financial, legal, tax, safety, employment, or structural decisions
- we are not liable for decisions made in reliance on AI output, to the extent permitted by law
Fair use. AI features are subject to usage limits per organisation so that capacity remains available to all customers. We may adjust these limits, and we may disable AI features generally or for an account that is using them abusively.
If you would prefer AI features be disabled for your organisation, contact [email protected] and we will disable them.
13. Third-party services & integrations
CabiPro integrates with third-party tools, including email delivery, WhatsApp messaging, accounting software, address lookup, and cloud storage. The providers we use are listed in our Privacy Policy.
Accounting integration. If you connect Xero, you authorise CabiPro to read and write invoices, quotes, purchase orders, and contacts, and to read payments and accounting settings, in order to keep the two systems in step. You are responsible for reviewing what is synchronised into your accounting records. You can disconnect at any time from within CabiPro or by revoking access in Xero.
WhatsApp notifications.Where enabled, WhatsApp notifications are delivered through Meta's WhatsApp Business Cloud API and are subject to Meta's terms. You are responsible for ensuring recipients have agreed to be contacted this way.
We are not responsible for:
- failures caused by external providers
- loss arising from changes made to integrations outside our control
- changes a third party makes to its own API, pricing, or terms
Use of third-party services is subject to their own terms and policies.
14. Security
We use reasonable technical, physical, and administrative measures to protect data. Our current measures are described in our Privacy Policy.
However, no system is completely secure.
You acknowledge:
- we cannot guarantee absolute protection against cyber threats
- you are responsible for secure passwords and for managing who has access to your account
- you are responsible for removing access promptly when a user leaves your business
- you must notify us immediately if you suspect a breach or unauthorised access
We comply with Australia's Notifiable Data Breaches scheme and will notify affected users and account administrators where legally required.
15. Warranties & disclaimers
CabiPro is provided "as is" and "as available".
To the fullest extent permitted by law, we do not guarantee that:
- the platform will be free from errors or interruptions
- all features will meet every business need
- integrations or external systems will always operate consistently
- calculations, quotes, cut lists, material takeoffs, or pricing outputs will be free from error
We provide tools. Business decisions remain your responsibility. You are responsible for checking quotes, measurements, material calculations, and financial figures before relying on them, sending them to a client, or cutting material.
Nothing in this section limits consumer rights under Australian Consumer Law.
16. Limitation of liability
To the extent permitted by law:
- we are not liable for indirect, incidental, special, or consequential losses
- we are not responsible for loss of profits, loss of revenue, loss of anticipated savings, loss or corruption of data, or business interruption
- we are not liable for losses arising from your own failure to keep credentials secure, to manage user access, or to verify outputs before relying on them
Cap on liability. Where liability cannot be excluded, our total aggregate liability to you for all claims arising out of or in connection with these Terms or the service is limited to the total subscription fees you paid us in the 12 months immediately before the event giving rise to the claim.
This does not exclude, restrict, or modify any liability that cannot be excluded, restricted, or modified under law, including under the Australian Consumer Law.
17. Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from:
- your breach of the warranties in section 4 regarding your authority to upload personal information
- a claim by one of your employees, clients, or contacts relating to data you chose to store in CabiPro
- your use of the platform in breach of these Terms or applicable law
This indemnity does not apply to the extent the claim arises from our own breach, negligence, or unlawful conduct, and it is reduced proportionately to the extent we contributed to the loss.
18. Australian Consumer Law (ACL)
Nothing in these Terms limits your rights under the Australian Consumer Law.
If services fail to meet statutory guarantees, you may be entitled to remedies including repair, replacement, refund, or compensation, depending on the circumstances.
Where the ACL permits us to limit a remedy, our liability for a failure to comply with a statutory guarantee is limited to resupplying the service or paying the cost of having it resupplied.
19. Intellectual property
All CabiPro branding, software code, design, content, and documentation are owned by us or licensed appropriately.
You may use them as part of the subscription, but cannot copy, reproduce, or exploit them without permission.
If you send us feedback or feature suggestions, we may use them to improve CabiPro without obligation to you. This does not give us any rights over your business data.
20. Confidentiality
We agree to treat your data as confidential.
You agree not to disclose pricing, system internals, or proprietary information shared during onboarding or support except as required by law.
These obligations do not apply to information that is already public, that a party develops independently, or that a party is compelled to disclose by law.
21. Force majeure
Neither party is liable for failure or delay in performing its obligations where that failure is caused by an event beyond its reasonable control, including natural disaster, fire, flood, pandemic, war, industrial action, failure of a telecommunications or hosting provider, or widespread internet outage.
This does not excuse an obligation to pay fees already due for service actually provided.
22. Assignment
You may not assign or transfer your rights under these Terms without our written consent, except to a purchaser of your business as a going concern.
We may assign these Terms in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to be bound by them. We will notify you if this occurs.
23. Changes to these Terms
We may update these Terms periodically.
When changes are material - for example, changes to fees, liability, or how your data is handled - we will give you at least 30 days' notice by email or in-app before they take effect. If you do not accept a material change, you may cancel before it applies.
Continued use of CabiPro after a change takes effect means you accept the revised Terms.
24. Dispute resolution
If a dispute arises, we would rather resolve it directly than in a courtroom. Both parties agree to:
- first raise the issue in writing, setting out the nature of the dispute and the outcome sought
- attempt to resolve it in good faith within 21 days of that notice
- if unresolved, consider mediation before commencing proceedings
Nothing in this section prevents either party from seeking urgent injunctive relief, or from exercising rights under the Australian Consumer Law.
25. Governing law
These Terms are governed by the laws of South Australia, Australia.
Both parties submit to the non-exclusive jurisdiction of the courts and tribunals of South Australia and the Commonwealth of Australia.
